1. About Fluxoro

These Terms and Conditions govern the use of services provided by Fluxoro ("we", "us", "our"), an AI voice agent service provider operating in the United Kingdom.

By engaging our services or submitting an enquiry, you ("the client") agree to be bound by these terms. If you do not agree, please do not use our services.

2. Our Services

Fluxoro provides the following services to business clients:

• Design, build, and deployment of custom AI voice agents for inbound call handling
• Ongoing management, monitoring, and optimisation of AI voice agents
• Integration with third-party tools including calendars, CRM systems, and communication platforms
• Weekly performance reports and call analytics
• Technical support related to the AI voice agent service

The specific services provided to each client will be agreed in writing (by email or signed agreement) before work commences.

3. Setup and Onboarding

Following agreement to proceed:

• A one-off setup fee may be charged before work begins, as agreed in your quote
• You agree to provide accurate information about your business including services, pricing, opening hours, and frequently asked questions
• We will notify you when your AI agent is ready for testing before going live
• You are responsible for setting up call forwarding on your existing phone number as directed by us
• We aim to have your agent live within a reasonable timeframe following receipt of all required information and setup payment

4. Fees and Payment

Monthly subscription: Our standard monthly fee is £500 (or as otherwise agreed in writing). This covers the AI voice agent service, ongoing management, and support.

Setup fee: A one-off setup fee may apply as stated in your quote. This is payable before work begins and is non-refundable once work has commenced.

Payment terms:

• Monthly fees are collected in advance on or around the 1st of each month
• Payment is collected by Direct Debit (GoCardless) or card (Stripe) as agreed
• Invoices are issued automatically and sent to your registered email address
• Late payments may result in temporary suspension of the service
• All prices are in GBP and exclusive of VAT (if applicable)

Price changes: We will give you at least 30 days' written notice of any price changes.

5. Cancellation Policy

Cancellation by you: You may cancel your subscription at any time with 30 days' written notice sent to email@fluxoro.co.uk. You will continue to receive the service and be charged until the end of the 30-day notice period.

Cancellation by us: We reserve the right to terminate the service with 30 days' written notice. In the event of a serious breach of these terms (including non-payment), we may suspend or terminate the service immediately.

Refunds: Monthly fees already paid are non-refundable except at our sole discretion. Setup fees are non-refundable once work has commenced.

6. Your Responsibilities

As a client, you agree to:

• Provide accurate and up-to-date information about your business for use in training the AI agent
• Notify us promptly of any changes to your services, pricing, opening hours, or other information the agent relies on
• Ensure call forwarding is correctly set up on your phone number
• Not use our service for any unlawful, fraudulent, or harmful purpose
• Comply with all applicable laws including UK GDPR when using our service to handle customer data
• Inform your customers that calls may be handled by an AI agent and may be recorded
• Pay all fees on time as agreed

7. AI Agent Limitations

You acknowledge and agree that:

• AI agents may occasionally misunderstand or mishandle calls, particularly off-script or unusual requests
• We do not guarantee that the AI agent will handle 100% of calls successfully
• The quality of the agent depends in part on the accuracy and completeness of information you provide us
• We are not responsible for missed business opportunities resulting from calls the agent could not handle
• You should always maintain an alternative way for customers to reach you (e.g. human handoff, voicemail)
• The AI agent is designed to assist your business, not replace your legal or professional responsibilities to customers

8. Data and Privacy

Both parties agree to comply with UK GDPR and all applicable data protection legislation.

As a data processor: Where Fluxoro processes personal data (such as caller information) on your behalf, we act as a data processor and you act as the data controller. You are responsible for ensuring you have a lawful basis to process your customers' data.

Call recordings: All calls handled by the AI agent may be recorded and transcribed. You are responsible for ensuring callers are notified of this at the start of each call. We configure the agent to include this notification as standard.

9. Intellectual Property

Your content: Any business information, scripts, or materials you provide to us remain your property.

Our work: The AI agent configuration, prompts, and technical setup created by Fluxoro remain our intellectual property unless otherwise agreed in writing. Upon termination of services, we will provide you with your call data and transcripts in a reasonable format upon request.

Feedback: Any feedback or suggestions you provide may be used by us to improve our services without obligation to you.

10. Limitation of Liability

To the maximum extent permitted by UK law:

• Fluxoro's total liability to you for any claim arising from these terms or our services shall not exceed the total fees paid by you in the 3 months preceding the claim
• We are not liable for any indirect, consequential, or special losses including loss of profit, loss of business, or loss of revenue
• We are not liable for failures or interruptions caused by third-party platforms (including Retell AI, Make.com, Google, or Twilio)
• We are not liable for circumstances beyond our reasonable control including technical outages, internet failures, or changes to third-party platform policies

Nothing in these terms limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

11. Confidentiality

Both parties agree to keep confidential any sensitive business information shared during the course of the service. This includes but is not limited to pricing, business processes, and customer data. This obligation continues for 2 years after termination of services.

12. Complaints

If you are unhappy with our service, please contact us at email@fluxoro.co.uk. We will acknowledge your complaint within 2 working days and aim to resolve it within 14 working days.

13. Governing Law

These terms are governed by the laws of England and Wales. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Changes to These Terms

We may update these terms from time to time. We will give you at least 14 days' written notice of any material changes. Continued use of our services after changes take effect constitutes acceptance of the updated terms.

15. Entire Agreement

These Terms and Conditions, together with our Privacy Policy and any written service agreement, constitute the entire agreement between you and Fluxoro regarding our services and supersede all prior discussions or agreements.
